CUSTOMER:

That certain individual or company who has requested a Subscription to the Publication by completing a subscription
process provided by the Publisher.

THIS SUBSCRIPTION AGREEMENT (the “Agreement”) is entered into on the date Customer completes a
subscription process provided by the Publisher.

IN  CONSIDERATION OF THE MATTERS DESCRIBED ABOVE AND OF THE MUTUAL BENEFITS AND
OBLIGATIONS SET FORTH IN THIS Agreement, the receipt and sufficiency of which consideration is hereby
acknowledged, the parties to this Agreement agree as follows:

Subscription
1.        The Customer hereby subscribes to and Publisher agrees to provide, via email and/or the internet, monthly
information of interest to real estate investors and professionals (the “Subscription”).
Term of Agreement
2.        The term of this Agreement shall begin on the date of execution of this Agreement and will remain in full force
and effect for the Term of Agreement above, with said term renewing automatically at the Renewal Rate for quarterly
terms unless either party terminates the Agreement according to its provisions.
3.        In the event either party wishes to terminate this Agreement, that party shall be required to provide a notice
period of 3 days prior to the next renewal date.
Compensation
4.        For the Subscription provided by the Publisher, the Customer will pay to the Publisher compensation in the
amounts listed above. Payment is due in advance of performance and shall be made using the online method provided
by Service Provider or such other method as may be tendered by Customer and accepted by Service Provider.
Modification of Agreement
5.        The Publisher may unilaterally amend this Agreement by providing Customer 7 days written notice of such
Amendment, and Customer is deemed to have accepted such amendment  if Customer has not otherwise notified
Service Provider by the end of the 7 day notice period. No other amendment shall be binding unless evidenced in
writing and signed by each party.
Notice
6.        All notices, requests, demands or other communications required or permitted by the terms of this Agreement
shall be given in writing and delivered to the addresses above if to Publisher, or to Customer’s provided email address
if to Customer, or to such other address as to which any Party may from time to time notify the other.
Time of the Essence
7.        Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of
this provision.
Entire Agreement
8.        It is agreed that there is no representation, warranty, collateral agreement or condition affecting this
Agreement except as expressly provided in this Agreement.
Limitation of Liability
9.        A. It is understood and agreed that the Publisher shall have no liability to the Customer or any other party for
any loss or damage (whether direct, indirect, or consequential) which may arise from the provisions of the
Subscription, the information provided in the Publication, nor from decisions made by the Customer based on
information contained in the Publication. Publisher offers no guarantees, warranties or implied outcomes as to the
benefits of the Publication, and relies on the Customer to determine whether the Publication is of any benefit to the
Customer. B. It is further understood and agreed that Customer releases and holds Publisher harmless from any
liability for errors or omissions contained within or omitted from the Publication.
Governing Law
10.        It is the intention of the parties that this Agreement and the performance under this Agreement, and all suits
and special proceedings under this Agreement, be construed in accordance with and governed, to the exclusion of the
law of any other forum, by the laws of the State of Georgia, without regard to the jurisdiction in which any action or
special proceeding may be instituted.
Dispute Resolution
11.        In the event a dispute arises out of or in connection with this Agreement, the parties will attempt to resolve the
dispute through friendly consultation.
12.        If the dispute is not resolved within a reasonable period, then any or all outstanding issues may be submitted
to mediation in accordance with any statutory rules of mediation. If mediation is not successful in resolving the entire
dispute or is unavailable, any outstanding issues will be submitted to final and binding arbitration in accordance with
the laws of the State of Georgia. The arbitrator’s award will be final, and judgment may be entered upon it by any
court having jurisdiction within the State of Georgia.
Severability
13.        In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in
part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts
severed from the remainder of this Agreement.
Waiver
14.        The waiver by either party of a breach, default, delay or omission of any of the provisions of this Agreement by
the other party will not be construed as a waiver of any subsequent breach of the same or other provisions.

IN WITNESS WHEREOF the parties have duly executed this Subscription Agreement on the date Customer
completes the subscription process associated with the Publication.
